What you need to know

Start by confirming the activities the company will carry on, who will own it and whether the Foreign Business Act or a sector-specific licence affects the proposed structure. Decide the registered office, company objectives, shareholders, share capital, directors and signing authority before preparing the memorandum and incorporation documents.

For a private limited company, all shares must be subscribed and at least 25% of their value must be paid before registration. The incorporation process covers the statutory meeting, appointment of directors and auditor, transfer of the promoters' business to the directors and filing with the Department of Business Development. DBD Biz Regist is the current digital service for submitting applications, signing, paying fees and receiving registration documents.

Registration creates the company but does not complete every operating requirement. Check Revenue Department registration and VAT obligations, Social Security registration when employing staff, foreign-worker permissions and licences for regulated activities. Requirements vary with ownership, activities, capital and location, so confirm the current position with the responsible authority before committing funds or starting work.
